By clicking “I Accept”, powering on or using a Device, installing, downloading, or otherwise using the Software, you agree to be legally bound by this EULA.

1. LICENSOR

“We”, “us”, and “our” refer to the Licensor identified above.

2. DEFINITIONS

Software means the object-code software (including firmware) supplied with this EULA, whether delivered by download, on physical media, or pre-installed/embedded in a Device, together with any updates and documentation.
Device means any hardware product sold or distributed by us that contains the Software.
Permitted Number means the number of users, devices, cores, servers, virtual instances, or concurrent/named users you are expressly authorised to use (as stated on your purchase receipt, order confirmation, licence key, or packaging). If no number is specified, the Permitted Number is one (1) installation on one (1) device or server.
Consumer means an individual acting wholly or mainly outside their trade, business, craft, or profession.

3. GRANT OF LICENSE

3.1 We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software up to the Permitted Number solely for your personal or internal business purposes as follows:

Embedded / firmware	only on the specific Device(s) in which it was originally supplied
Desktop software	on the Permitted Number of desktop or laptop computers
Server / on-premise / client-server	on the Permitted Number of servers or instances (physical or virtual) and by the Permitted Number of users
Standalone downloadable (non-server)	on the Permitted Number of devices (normally one)

3.2 You may make a reasonable number of copies solely for backup and archival purposes.

4. RESTRICTIONS

You must not (and must not allow any third party to):

(a) copy (except as expressly permitted), modify, or create derivative works;

(b) reverse engineer, decompile, or disassemble (except to the extent expressly permitted by applicable law);

(d) extract the Software from its original Device or use it on any other hardware except as expressly allowed in Section 3;

(e) remove or alter any copyright, trademark, or proprietary notices.

5. OWNERSHIP

The Software is licensed, not sold. We and our licensors retain all intellectual property rights.

6. UPDATES & CONNECTIVITY

The Software may automatically download and install updates and may periodically communicate with our servers for licence validation and functionality.

7. PRIVACY

Your personal data is processed in accordance with our Privacy Policy at https://ringdale.com/privacy-policy.

8. WARRANTY

If you are a Consumer	If you are NOT a Consumer (business, government, etc.)
The Software will materially conform to its documentation for the full statutory period in your jurisdiction (e.g., 2 years in the UK/EU). Your statutory rights are not affected.	The Software is provided “AS IS”. We warrant only (for 90 days from delivery) that we have the right to grant this licence and that the Software does not infringe third-party IP in the US or UK. All other warranties are excluded to the fullest extent permitted by law.

9. LIMITATION OF LIABILITY

9.1 Consumers – Nothing in this EULA affects your statutory rights. We do not exclude or limit liability for death/personal injury caused by negligence, fraud, or any matter that cannot lawfully be excluded or limited.

9.2 Business customers – TO THE MAXIMUM EXTENT PERMITTED BY LAW, we are not liable for indirect, consequential, special, or punitive damages or for loss of profit, revenue, data, or goodwill. Our total liability is limited to the amount you actually paid for the Software or Device (or US$100 / £100 if obtained free of charge).

10. TERMINATION

This licence terminates automatically upon any breach. Upon termination you must immediately cease use and delete or destroy all copies of the Software.

11. EXPORT CONTROLS

You will comply with all applicable export and sanctions laws (U.S., UK, EU, and others).

12. GOVERNING LAW AND JURISDICTION

If the Licensor is the Texas (U.S.) company	This EULA is governed by the laws of the State of Texas, without regard to conflict of laws principles. Exclusive venue is the state or federal courts in Travis County, Texas. You consent to personal jurisdiction and venue there.
If the Licensor is the UK company	This EULA is governed by the laws of England and Wales. Exclusive jurisdiction and venue is the courts of England and Wales.

13. CHANGES TO THIS EULA

We may update this EULA at any time. The latest version is always available at https://ringdale.com/eula

If you are a Consumer	If you are a business customer
Continued use of the Software or Device more than 30 days after we post the new version means you accept the updated EULA. If you do not agree, stop using the Software/Device immediately and contact us for refund/termination instructions.	Continued use of the Software or Device after we post the updated EULA means you accept the new terms.

14. MISCELLANEOUS

This is the entire agreement. Severability applies. We may assign this EULA; you may not without our written consent.
